Terms and Conditions

The customer’s attention is particularly drawn to the provisions of clause 7 (Limitation of liability). Please read these terms and conditions carefully before placing an order. All orders placed with EYN Wholesale Ltd are subject to these Conditions.

1. DEFINITIONS

Business Day: a day (other than a Saturday, Sunday or public holiday) when banks in London are open for business.

Conditions: these terms and conditions as amended from time to time in accordance with clause 15.

Contract: the contract between EYN Wholesale and the Customer for the sale and purchase of Goods in accordance with these Conditions.

Customer: the person, partnership, or corporate firm who purchases the Goods from EYN Wholesale.

Delivery Location: has the meaning given in clause 4.

Force Majeure Event: an event or circumstance beyond a party’s reasonable control.

Goods: the goods, FMCG products, groceries, or confectionery set out in the Order confirmation.

Order: the Customer’s order for the Goods, as submitted via the Trade Portal or in writing.

EYN Wholesale: EYN Wholesale Ltd (registered in England and Wales) whose trading office and distribution hub is at 48 Brook St, Thurmaston, Leicester LE4 8DA, UK.

2. EXPORT ORDERS

All Export orders are supplied on an Ex Works (EXW) basis unless otherwise agreed in writing. The Customer is responsible for arranging carriage, freight forwarding, export/import customs clearance, licenses, and transit insurance from the EYN Wholesale distribution facility.

Export orders require proforma payment in full prior to release of goods. Funds must be fully cleared in our designated bank account before collection. Invoices can be issued zero-rated for VAT subject to provision of verified local VAT/EORI registration and proof of compliant export transport documentation (signed CMR note, bill of lading, air waybill).

3. DANGEROUS GOODS & AEROSOLS

Orders containing aerosols or regulated toiletries require Dangerous Goods Notes (DGN) and appropriate road/sea freight hazard placards in compliance with international transport standards. Additional administrative and specialist handling fees apply.

4. ACCEPTANCE & DELIVERY

Deliveries across mainland UK are made kerbside to the agreed Delivery Location. The Customer must inspect all Goods immediately upon receipt and note any discrepancies, damages, or missing cartons on the consignment note at the time of delivery.

5. PRICE & PAYMENT

Prices quoted are exclusive of VAT and delivery charges. Payment must be made by bank transfer (BACS/CHAPS) or approved business debit card. Credit accounts are granted solely subject to satisfactory credit referencing, ongoing compliance, and verified trade trade history.

6. CLAIMS & SHORTAGES

Any claims regarding shortages or transit damages must be notified to EYN Wholesale in writing at contact@everythinguneed.co.uk within 24 hours of delivery. Failure to provide written notification with photographic evidence within this period shall constitute unqualified acceptance of the delivery.

7. LIMITATION OF LIABILITY

Nothing in these Conditions shall limit or exclude EYN Wholesale’s liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation. Subject to the foregoing, EYN Wholesale shall not be liable to the Customer for any indirect, special, or consequential loss.

8. PALLET EXCHANGE

Deliveries made on standard wooden UK/Euro pallets require a 1:1 exchange of equivalent sound pallets upon handover by the haulage driver.

9. GOVERNING LAW & JURISDICTION

The Contract, and any dispute or claim arising out of or in connection with it, shall be governed by and construed in accordance with the laws of England and Wales. Each party irrevocably agrees that the courts of England and Wales shall have exclusive jurisdiction.
